Section 01

Definitions

In these Terms and Conditions, the following definitions apply throughout:

  • "Meta-Analytix" — Meta-Analytix (Pty) Ltd, registered in South Africa, with offices at 6 Sturdee Avenue, 2nd Floor, Rosebank, Johannesburg, 2196.
  • "Client" — any individual, company, or organisation that submits data to Meta-Analytix for processing or engages Meta-Analytix for any service.
  • "Raw Data" — any unprocessed imagery, LiDAR captures, IMU logs, GNSS trajectory files, ground control point (GCP) coordinates, calibration data, or any other files supplied by the Client for processing.
  • "Deliverables" — any processed geospatial outputs produced by Meta-Analytix from the Client's Raw Data, including orthomosaics, DTMs, DSMs, point clouds, contour lines, volume reports, and 3D models.
  • "Processing Services" — photogrammetric processing, LiDAR processing, and any associated geospatial data processing carried out by Meta-Analytix.
  • "GCP" — Ground Control Points: surveyed reference markers used to georeference and validate processed outputs.
  • "Agreement" — these Terms and Conditions together with any accepted quotation or project instruction.
Section 02

Services & Scope

Meta-Analytix provides geospatial data processing services as specified in each accepted project quotation. The scope of services is strictly limited to what is explicitly described in the accepted quotation and does not extend to data collection, flight operations, site access, or any activity performed prior to Meta-Analytix's receipt of Raw Data, unless expressly agreed in writing.

By submitting Raw Data and accepting a quotation, the Client enters a binding agreement with Meta-Analytix on the terms herein. Submission of a quote request does not constitute a binding agreement — an agreement arises only upon the Client's written acceptance of a quotation issued by Meta-Analytix.

Meta-Analytix reserves the right to decline any project at its sole discretion, including where submitted data is incomplete, corrupt, or unsuitable for processing, and will notify the Client accordingly.

Section 03

Client Data & Data Quality

Critical Notice: The quality, accuracy, and completeness of all Deliverables produced by Meta-Analytix is directly and entirely dependent on the quality of the Raw Data supplied by the Client. Meta-Analytix accepts no liability whatsoever for any deficiency, inaccuracy, or inadequacy in the Deliverables that arises from deficient, incomplete, corrupted, or poor-quality Raw Data supplied by the Client or by any third party engaged by the Client.

The Client is solely responsible for ensuring that Raw Data submitted to Meta-Analytix meets the minimum quality requirements. Where the Client engages their own UAV operator, pilot, or third-party data collection provider, Meta-Analytix shall not be held responsible for any errors or quality issues arising from that data collection process.

Minimum data quality requirements include, but are not limited to:

  • A minimum of 75% frontal overlap and 60% side overlap for photogrammetric (drone imagery) submissions.
  • Images must be sharp, correctly exposed, and free from excessive motion blur, lens distortion not accounted for in calibration, or environmental obstruction.
  • A minimum of five (5) well-distributed, clearly identifiable Ground Control Points (GCPs), accurately surveyed in the project's required coordinate reference system (CRS), unless PPK or RTK-corrected positioning has been confirmed in writing as sufficient by Meta-Analytix.
  • For LiDAR submissions: all raw sensor files must be complete and include trajectory, calibration, IMU, and timing data as specified in the project intake form. Required files include: .cli, .clc, .imu, .ldr, .rtb, .rtk, .rtl, .rts, and .cmi files as applicable.
  • All files must be complete, uncorrupted, and in a format supported by Meta-Analytix as confirmed at the time of quotation.

Meta-Analytix performs a data quality assessment upon receipt. Where data falls below minimum requirements, Meta-Analytix will notify the Client and may, at its discretion: request supplementary data at the Client's cost; proceed on a best-efforts basis with the Client's written consent and acceptance of reduced accuracy; or decline to process and refund any deposit paid less reasonable assessment costs.

Section 04

Limitation of Liability

Meta-Analytix expressly disclaims all liability for inaccuracies, errors, or omissions in the Deliverables that result — directly or indirectly — from deficiencies in the Client's Raw Data. This includes but is not limited to: insufficient image overlap, poor image resolution or quality, inadequate or incorrectly surveyed GCPs, missing calibration or trajectory files, corrupt or incomplete data files, or any other data quality issue attributable to the Client's data collection process or third-party operator.

To the maximum extent permitted by applicable South African law, Meta-Analytix's total aggregate liability to the Client in connection with any claim arising out of these Terms or the Processing Services shall not exceed the total fees paid by the Client for the specific project to which the claim relates.

Under no circumstances shall Meta-Analytix be liable for:

  • Any indirect, consequential, special, incidental, or punitive loss or damage of any kind;
  • Loss of profits, revenue, anticipated savings, business, contracts, or goodwill;
  • Loss of or damage to data, whether or not Meta-Analytix was advised of the possibility of such loss;
  • Any decision, action, or outcome taken by the Client or any third party based on the Deliverables;
  • Any engineering, construction, legal, or regulatory decisions made in reliance on the Deliverables without independent verification by a qualified professional.

The Client acknowledges that geospatial data processing inherently involves measurement uncertainties, and that absolute positional accuracy cannot be guaranteed. Accuracy estimates in quotations and reports represent expected performance under ideal data conditions. The Client is responsible for verifying the fitness of Deliverables for their intended application prior to use.

Section 05

Turnaround & Delivery

Estimated turnaround times are provided in good faith based on typical processing conditions. They do not constitute a guaranteed delivery date. Meta-Analytix shall not be liable for delays caused by circumstances beyond its reasonable control, including server outages, third-party software failures, or force majeure events.

Turnaround commences upon Meta-Analytix's written confirmation that all required Raw Data, GCPs, and project information have been received in full and are of sufficient quality for processing. Time spent on data quality assessment or awaiting supplementary data from the Client does not count toward the agreed turnaround period.

Deliverables are provided in the formats specified in the accepted quotation. Additional formats requested after quotation acceptance may incur additional charges and extend delivery timelines. All Deliverables remain the property of Meta-Analytix until full payment has been received, and Meta-Analytix reserves the right to withhold release of Deliverables pending settlement of outstanding invoices.

Section 06

Pricing, VAT & Payment

All quoted prices are in South African Rand (ZAR) and are exclusive of Value Added Tax (VAT) unless explicitly stated. VAT will be added to all invoices at the prevailing statutory rate in accordance with the Value-Added Tax Act 89 of 1991.

Quotations are valid for thirty (30) days from the date of issue. Meta-Analytix reserves the right to revise pricing after the validity period. Payment terms are as stated on the invoice — unless otherwise agreed in writing, full payment is required prior to release of Deliverables.

A non-refundable deposit may be required for projects above a specified value threshold, as noted in the quotation. This deposit is applied toward the final invoice total and is forfeited if the Client cancels the project after processing has commenced.

Interest on overdue accounts may be charged at 2% per month compounded monthly. Meta-Analytix reserves the right to recover all costs of collection, including reasonable legal fees, where payment is not received by the due date.

Section 07

Intellectual Property

The Client retains ownership of all Raw Data submitted. The Client warrants that they hold all necessary rights to submit the Raw Data and that doing so does not infringe any third-party intellectual property rights.

Upon receipt of full and final payment, ownership of the Deliverables transfers to the Client. Meta-Analytix retains the right to retain archival copies of processed data for quality assurance and technical improvement, and may use anonymised, non-identifiable project data for internal research. No identifiable project data will be disclosed to third parties without the Client's prior written consent.

All processing workflows, software, methodologies, tools, templates, and proprietary systems used by Meta-Analytix remain the exclusive intellectual property of Meta-Analytix and are not transferred to the Client under any circumstances.

Section 08

Confidentiality

Both parties agree to keep confidential all information received from the other party that is designated as confidential or that a reasonable person would understand to be confidential given its nature and context. This obligation survives termination of the Agreement.

Meta-Analytix will not disclose the Client's project data, deliverables, site information, or business details to any third party without the Client's express written consent, except where required to do so by law, regulation, or court order.

Section 09

Cloud Platform & Data Access

Where Meta-Analytix provides cloud-hosted access to Deliverables, the following conditions apply:

  • Platform access is provided on a per-project, per-client basis. Access credentials must not be shared with unauthorised parties.
  • Meta-Analytix will use reasonable commercial efforts to maintain platform availability but does not guarantee uninterrupted access. Scheduled maintenance and emergency downtime may occur.
  • Hosted data is retained for the period specified in the quotation. After this period, data may be archived or deleted without further notice. The Client is responsible for downloading and independently retaining all Deliverables before the retention period expires.
  • Meta-Analytix is not liable for data loss resulting from platform outages, hardware failure, or events beyond its reasonable control.
Section 10

Data Acquisition & Partner Operators

Where Meta-Analytix arranges data acquisition through a licensed partner drone operator or manned aircraft provider, Meta-Analytix acts as an intermediary and is not liable for delays, cancellations, or quality issues arising from weather, airspace restrictions, site access conditions, or any other circumstances outside Meta-Analytix's control during acquisition.

Self-supplied data disclaimer: Where the Client conducts their own survey and supplies Raw Data independently, Meta-Analytix processes only what is received and bears no responsibility for the quality, accuracy, regulatory compliance, or completeness of that data. The Client warrants that all drone operations are conducted in full compliance with South African Civil Aviation Authority (SACAA) regulations. A minimum of five (5) well-distributed GCPs is strongly recommended for all self-supplied photogrammetric submissions. Output accuracy is entirely contingent on the quality of data supplied.

Section 11

Governing Law & Jurisdiction

These Terms and Conditions are governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the South African courts. The parties hereby consent to the jurisdiction of the High Court of South Africa (Gauteng Local Division, Johannesburg).

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation before initiating formal legal proceedings.

Section 12

Amendments

Meta-Analytix reserves the right to amend these Terms at any time. Updated Terms will be published on the Meta-Analytix website with a revised effective date. Continued use of Meta-Analytix services following publication of updated Terms constitutes acceptance of the amended Terms.

Clients with projects in progress at the time of an amendment will continue to be governed by the Terms in effect at the time their quotation was accepted, unless they expressly agree to the updated Terms in writing.
